How to open a company in the USA now? — Media on vc.ru

740
views

Startups with Russian founders faced difficulties in the US state of Delaware, which is considered the best jurisdiction for company registration. Sanctions have kept local law firms from doing business with the Russians and put some startups under a state lockdown, effectively preventing them from continuing to operate.

Now they often write that it is impossible to register a company with a Russian passport. However, in assistant services (Stripe Atlas, Firebase, Clerky, etc.), not people, but territories are prohibited, and if you plan to do business in Russia, then registration is prohibited. nine0003

CoFounder decided to find out: he made inquiries, made a separate broadcast with a lawyer and prepared this material.

Delaware is a popular state for incorporating companies due to its strong corporate laws. Nearly 66.8% of Fortune 500 members are based in Delaware, according to the state’s website. At the same time, in Wyoming and New Mexico, the jurisdiction service will be much cheaper.

Now many people are looking for ways to open an account from Russia remotely in a normal foreign bank. But let’s face it: is either unrealistic right away, or entails various difficulties in the form of blocking and restrictions in the future. With a company in the USA, you can easily apply to an American accelerator and communicate with any investor.

Opening an LLC or C-Corp will allow you to accept payments from freelance exchanges, directly from clients, from marketplaces, etc.

Official and current information

  • Official website describing the registration process
  • One of the online filling services
  • Delaware Business Formation Agent ($180 per company)
  • Lists of banned countries

Registration

For registration, you can use the services: Stripe Atlas, Firebase, Clerky, etc. Through the services it is easier to open a bank account later and get access ( usually a year of free use or significant discounts ) to additional services like Slack, Webflow, Airtable and many others.

Should I choose LLC or C-Corporation? The most popular choice to open a Delaware company is the C-Corporation form. This is the most common state and the most common form of activity for a startup. Delaware laws are great for startups and investors, and C-Corp allows you to split your company into several million shares.

  • Minimize taxes – C-corp
  • nine0025 Attract investments – C-corp

  • Plans to move to the US for permanent residence – LLC
  • Just customer service – C-Corp.

Standard Flat Tax, :

  • Delaware Franchise Tax . If the company is a startup with venture investment prospects, that is, for a standard type of company that is comfortable for investors. Cost $450/year.
  • nine0025 Authorized Shares Method . If the business does not involve investment. The cost is $225 per year.

Obtain an EIN tax identifier (similar to TIN). After creating a legal entity, the next step is to obtain an EIN, also known as an Employer Identification Number or Federal Taxpayer Identification Number.

For reliability, you can register a company directly or through Clerky, then make an EIN through an American accountant ($100), open an account and work quietly. nine0003

Open a bank account . In fact, only two neobanks can be considered, Brex and Mercury. The second one stopped sending payments to Russia, while the Brex is still holding on and promises not to deprive it of such an opportunity. You can issue cards for everyone (virtual and physical).

Stripe Atlas also refused to open a company until February 24 because the founders were residents of the Russian Federation and there was no residence permit in another country. Therefore, such a policy did not appear in recent weeks, as many people think, but a very long time ago. nine0003

On what grounds are the Russians denied?

Registration agents cite the May Executive Order of the Office of Foreign Assets Control (OFAC), the department of the US Treasury that is responsible for sanctions. This order prohibited American citizens and companies from providing accounting services, services for opening trusts and companies, as well as management consulting services to persons located in the Russian Federation (any person located in the Russian Federation). nine0003

Establishing the fact that a person is in Russia or abroad is problematic, therefore, it seems that all entrepreneurs who indicated Russian addresses during registration fell into disgrace. The fact that many of them do not actually live in Russia was not taken into account.

Taxes and service charges

The vast majority of non-U. S. owned c-corps pay next to nothing because there is no taxable income in the US. Especially if it’s a small company. But the tax, of course, arises at the place of residence. nine0003

A company in the USA is an absolutely complete solution. For me, this is the easiest, most convenient, reliable and cheapest way to exist in the current realities for everyone who is in the least connected with cross-border work / transactions. Including payment for services.

Taxes are one of the reasons why permanently living in the USA means losing a lot of quality of life, so even for Americans, tax residents outside the USA, for example, in Europe, are relevant.

Counting expenses :

  • $600/year for tax return through Atlas partner accountants (may be as low as $250 per year if account activity is low).
  • $100/year – Delaware Registered Agent.
  • $240/year – California address via Stable.
  • $40/year – phone number via Hushed.

Free – Brex bank with free international wires and normally working cards outside the USA. nine0003

Total $450 in taxes and $980 in services per year.

Accounting

Even if the company does not spend funds once a year, you must file a return on Form 5472 and 1065. Online Taxman or any other certified public accountant (CPA) can help prepare the return. The cost of filing, if a large number of transactions are not expected, $ 800-1500

Investments

Early-stage outside investors are usually raised through a SAFE (simple future asset agreement) or Convertible Note (convertible loan). Carta can automate the management of captable and equity – it is already a de facto standard in this area. After receiving the post-incorporation documents in Firstbase, you can open an account in Carta, enter the current shareholder list there and issue an investment agreement in one click.

Risks

There will be no restrictions from the US at the grassroots level, it is enough to see what passports people have with c-corp and work for years. There is a slight hysteria in the EU (unlike Britain for example): the closure of accounts in many countries. For example, France’s banks, including the Societe Generale, have restricted thousands of accounts even to people with French passports. This is how the banks of some countries frivolously interpret the recommendations of their central banks. So a company in the USA looks much more reliable for IT people than any other option. nine0003

High anonymity – even the federal government has only recently gained access to the lists of LLC shareholders. There is no public registry and no plans yet. Your local dictator won’t know about your account.

On the part of Russia, it is more difficult: every week new recommendations of the Central Bank and decrees on the rules of regulation are issued. In fact, the only reliable option is to make yourself a resident of another country.

Summary

It is very easy to start a business in the USA, but as it grows, the administrative costs will grow and grow. nine0003

All interactions with the state are usually carried out through intermediaries, there are no initiatives to open public services and direct interaction similar to the EU or the Russian Federation. Documents naturally come and go to the tax and SEC by fax. And a beautiful modern intermediary with a billion-dollar rating scans this fax for you.

How to open a company in the USA

After the unfortunate events of February 24, 2022, IT companies exporting their product to global markets began to look for ways to hide their origin. It was easier to do this for firms that have only a software product. But we sell both software and hardware, and the main market is the United States. Immediately after the start of the “special operation”, American resellers, as well as UPS and sea carriers, refused us. The question arose of transferring part of the business to the United States. To do this, you must have a company in the US, an address in the US, a phone number with the +1 code. nine0003

Therefore, after googling, we decided to use Stripe Atlas. The interface of the portal is quite understandable and this company has been written about more than once on vc.ru, so I want to focus only on non-obvious nuances.

It is important to note that a) we opened the company after February 24 and b) we opened it completely remotely.

Notarized Power of Attorney

The main nuance that arises with the remote option is that you must issue a notarized power of attorney to the person who will open a company for you while in the United States. You don’t need to know this person, Stripe Atlas provides it. Power of attorney forms are also filled in automatically based on the information that you provide to him during registration. Notarization is very interesting, I have not heard that there are similar systems in Russia. In the United States, there is a computer network of notaries and you can certify a document remotely by communicating with a notary via video link. For a long time I could not understand how it works and what they want from me. nine0003

Sharing positive experiences. After filling out all the questionnaires, Stripe Atlas gives you a “Call Notary” button in your browser. You press it and you are prompted to enter photos of your documents through the camera on your mobile phone. To do this, the application automatically opens on your mobile phone and you take pictures of your documents with its camera, and the photos are automatically uploaded to the notary. You can use a driver’s license and a Russian passport. It is important that the documents include a photo, because the notary will identify you by comparing the photo in the passport with your face, which he sees on video link. nine0003

There were two nuances in this process that need to be considered in more detail.

The first nuance is the problem with the “digital signature”. For a long time I could not understand what they mean by “Sign a document.” I knew that digital signatures require knowledge of codes, passwords, keys and did not understand how I would sign a document in PDF format with an electronic signature. I even thought that I would have to print the PDF and sign it in front of a notary, i.e. he should see through the webcam how I sign. The first session with the notary ended with the fact that he simply hung up, realizing that I was hopelessly stupid. nine0003

But that’s not all. The most difficult was ahead – I still could not understand what they want when they say: “Now sign the document.” Well, the third notary was more patient and decided that since he spent so much time studying the document (he forced me to edit some phrases), it was better to get me to sign after all than just “hang up” and lose money. It turned out that in the user interface, to the right of it, my last name and first name are written, and “sign the document” means that I have to take my name with the mouse and drag it to the place in the document where the “electronic signature” should be. The meaning of this procedure is that the notary and I have the same document in front of our eyes and all my actions on my computer are synchronously reflected on his screen. This means that when I drag my name with the mouse, he sees in real time that I am “signing” the document and sees through the webcam that it is me who is doing this, and not someone else. To be honest, I’m still in shock at how witty “they” have everything thought out. nine0003

The next nuance is that all notaries in the network are “black people” and they have such an American English pronunciation that I have never seen in Youtube videos that I used to learn colloquial American. It’s just tin. I felt my shame from my heels to the tips of my hair, and after these conversations, for a week, from morning to evening, I listened to the language of African Americans.

So, the power of attorney was certified by a notary and it was necessary to wait until the state of Delaware registered my company. The registration confirmation arrived about a week later, in Stripe Atlas and simultaneously in my US paper mailbox. nine0003

Paper mailbox

Now about how I got the address in San Francisco. The wonders of technology surprised me again. To register a company in the United States, you must have a physical mailbox where you can drop paper correspondence. The fact is that the US tax office sends its correspondence in paper form, apparently not trusting e-mail. But business is business to satisfy people’s needs. There is such a company – Earth Class Mail, which accepts paper correspondence, scans the envelope from the outside and puts the scan in your e-mail box, linked to your login after registering on Earth Class Mail. After that, you will be emailed. mail or in the form of SMS you receive a message that you have received a letter. While in Russia, you log into your account and see a scan of the envelope. If it’s spam, delete it, if it’s an important letter, press the “print and scan the inside” button, and after a few hours you will have the scanned contents of the envelope that you can download to your computer:0003

As can be seen from the letter, the company was registered on March 17, 2022, i. e. already under sanctions.

Phone number +1 (USA)

Phone number with +1 code is easy to get. I did it at OpenPhone. No tricks, it’s simple. You don’t need to change the sim. It’s just that there is a call forwarding and a call comes to the phone with your SIM card, and the caller’s phone number with the +1 code is displayed.

nine0002 Bank account

This is the hardest part. By default, Stripe offers to open an account with Silicon Valley Bank or Mercury, but after February 24, these banks stopped working with Russian residents (i.e. if the founder of the company has a Russian passport). It is important to note here that many banks and firms stopped working with us not because of sanctions, but on their own initiative: because they do not want to spoil their reputation. I applied to 10 banks, including Swiss ones, but the same answer came from everywhere, like “We do not work with Russian residents. Glory to Ukraine! Moreover, during registration, when you need to select your country of residence from the drop-down menu, many banks simply do not have Russia at all, i.
